Reports functionally to the Chairperson of the Board of Directors and administratively to the Chief Executive Officer (CEO).
Minimum Qualification
An LLB degree (and a CIS qualification will be an advantage)
Minimum years relevant experience
At least 5 years’ experience in a Board / Company Secretary role, or similar role, preferably within a State-Owned Entity
Minimum Requirements
  • Exceptional Board secretarial and administrative skills ;
  • Good knowledge of corporate governance and compliance prescripts and relevant legislation, including public sector legislation; and
  • Experience in, and working knowledge of the Energy or Nuclear industry is highly preferred.

Job Description

The experienced Board Secretary will be accountable for the provision of an efficient and effective secretariat service to the Board of Directors and its Sub-Committees. To also provide support and guidance to the Board on corporate governance matters.

Key Areas of Responsibility

The Board Secretary must have a thorough understanding and knowledge of board secretariat operations, and should have the ability to communicate at all levels with tact and diplomacy.
The key performance areas of the role include:

  • Ensure effective and efficient management of Board and Sub Committees Administration;
  • Ensure good corporate governance and compliance;
  • Ensure accurate recording and timeous distribution/circulation of Board and Sub Committees minutes;
  • Ensure timely information flow between the Board and the entity’s Executive and effective communication and engagement between the Board and the shareholder Ministry, the shareholder Department and other key stakeholders; and
  • Taking an active role in supporting Director and Board effectiveness through training and development.
